Our client is a is a prominent telecommunications company known for its extensive network infrastructure and comprehensive range of services. It provides innovative solutions in internet, mobile, and television communications, catering to both residential and business customers
Function “reports” to FK Legal & Regulatory Manager (who in turn reports “” within the Management Team to the CEO).
The function mainly concerns supporting the ongoing negotiations with the Construction Partners (CPS) for the roll-out of FK's fiber optic network.
There are currently 8 CPS active on the basis of a (complex) existing agreement based on the Dutch model. The aim is to break open and renegotiate those agreements on the basis of experience gained and Ifv new strategic choices.
Certain CPS are open to this. Certain CPS are (initially) less / not open to this. With certain CPS, the intention is to terminate the agreement (under certain conditions).
For the CPS with which we continue to work, the intention is to maintain the existing complex agreement (subordinate) for the time being, but to supplement it with:
- A settlement for existing discussion points
- A new way of working (see especially a program of requirements)
- In the second phase, a fully coordinated version is envisaged.
For CPS that are stopped, the intention is:
- Close a settlement for existing discussion points
- End the existing agreement in such a way that a flawless transition can be realized with (an) other party (s) ifv the further operation of the network
What you'll do
In particular, the position has the following tasks in that context:
- Analysis of potential claims
- Advice in the context of such potential claims
- Support negotiation of such potential claims
- Proposals for contract clauses based on the discussions
- Discuss these contract clauses, both internally with the various functions involved (see eg Procurement, Construction, Finance, Operations, ...) and externally (see eg lawyer (s) representing / representing the CP)
- Project management and follow-up of all open points
- Clear and simple Storage in drafts / comments systems
- Pursue as much conformity as possible between the different texts for the different parties
- Periodic “reporting” on progress to FK Legal & Regulatory Manager, who remains closely involved in the CP project
- In addition, the function in support of FK's Legal & Regulatory Manager can be involved for specific questions regarding e.g.:
- Administrative aspects of network deployment (see e.g. permits, permissions, ...)
- Purchase files
- Litigation of threatened litigation
What you bring
- Degree in Law
- Minimum 5 years of practical experience
- Relevant experience in contract contracts
- Contract lawyer
- Relevant software knowledge
- Smooth knowledge of Dutch and English
- Minimum 4/5 available
- Preferably no other professional activities
- Minimum 1 to 2 days at the Ghent office
